Payment Terms

Payment Process

Intellectual Property

Our Deliverables

The ownership of marketing materials, designs, and content we create is specified in your service agreement. Typically:

  • Upon final payment, you receive rights to use the final deliverables as outlined in our agreement

  • We retain ownership of preliminary designs and concepts not selected for final use

  • We maintain the right to showcase our work for Purple Wave Creative in our portfolio

Third-Party Materials

Some projects may incorporate third-party elements (stock photos, fonts, software, etc.). Rights to these elements are subject to their respective licenses, which we’ll disclose to you.

Limitation of Liability

While we strive for excellence in everything we do, we need to include some standard protections:

  • Our services are provided “as is” without warranties of any kind, either express or implied

  • We’re not liable for damages arising from the use of our website or services, including but not limited to direct, indirect, incidental, or consequential damages

  • Our maximum liability is limited to the amount you paid for the services directly related to the cause of liability

  • These limitations don’t apply to liabilities that cannot be excluded by law

Indemnification

You agree to defend, indemnify, and hold harmless Purple Wave Creative and our team from claims, damages, and expenses (including reasonable attorney fees) arising from:

Governing Law

These Terms are governed by the laws of Michigan, without regard to its conflict of law provisions. Any disputes will be resolved in the courts of Michigan.

Severability

If any provision of these Terms is found to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full effect.

Entire Agreement

These Terms, together with your specific service agreement (if applicable) and our Privacy Policy, constitute the entire agreement between you and Purple Wave Creative regarding our website and services.
